Conditions of Sale

 

1. General
1.1. These Conditions of Sale shall apply to all contracts for the supply of goods by Wilsons Yard Limited (“the Company”) to any purchaser (“the Buyer”).
1.2. Any variation to these Conditions proposed by the Buyer shall be of no effect unless accepted in writing by the Company.

2. Warranties and Liability
2.1. No condition or warranty, whether express or implied, is made or shall be implied as to the life, wear, or suitability of the goods supplied for any particular purpose, even if such purpose is known to the Company.
2.2. The Company shall not be liable for any consequential or indirect loss or damage arising from any cause whatsoever.

3. Delivery
3.1. Any time or date named by the Company for delivery shall be an estimate only. The Company shall not be liable for any delay in delivery howsoever caused.
3.2. All deliveries will be made by independent haulage contractors.

4. Delivery Conditions
4.1. Deliveries shall be made to the nearest suitable hard roadway accessible to the delivery vehicle.
4.2. Where the Buyer instructs delivery off the public highway, the Buyer shall be responsible for any resulting damage to vehicles, roadways, pipes, manholes, or any other property.
4.3. The Buyer shall provide prompt assistance to the driver in unloading the goods. Any delays may incur additional charges.
4.4. Delivery charges are payable in addition to the price of the goods.

5. Examination and Claims
5.1. The Buyer shall examine all materials thoroughly upon delivery or collection. Any shortages or defects shall be noted on the delivery note.
5.2. Written notification of any shortages or defects must be made to the Company within three (3) days of delivery.
5.3. The Company shall accept no responsibility after delivery for the condition or suitability of the goods, and no returns shall be accepted.

6. Incorrect Orders
6.1. Goods delivered in accordance with an order that has been incorrectly placed by the Buyer may, at the Company’s sole discretion, be accepted for return.
6.2. Returned goods must be in perfect condition, and all transport costs for delivery and collection shall be borne by the Buyer.
6.3. A handling charge of ten percent (10%) of the sale value of the returned goods shall apply.

7. Customer Collections
7.1. Buyers collecting goods are responsible for ensuring that their mode of transport is suitable for the goods purchased and adequate to protect against adverse weather conditions.
7.2. The Company accepts no liability for goods once they have left the Company’s premises.

8. Availability
8.1. All goods are offered subject to availability at the time the order is placed.

9. Prices
9.1. Prices quoted by the Company may be adjusted in accordance with market conditions prevailing at the date of actual supply.
9.2. VAT will be charged at the applicable rate.

10. Retention of Title
10.1. Ownership of the goods shall not pass to the Buyer until the Company has received payment in full for all goods supplied.
10.2. Risk in the goods shall pass to the Buyer upon delivery.
10.3. If the goods are processed or mixed with other goods, the resultant products shall be owned jointly by the Company and any other relevant owners in proportion to their respective cost values.
10.4. Orders may only be cancelled in writing within one (1) week of the order date. Cancellations after that period shall incur a production and administration charge of fifteen percent (15%) of the total value of the order.
10.5. All deposits paid shall be forfeited upon cancellation of an order.
10.6. The placing of an order shall be deemed to constitute full acceptance of these Conditions of Sale.

11. Reclaimed Goods
11.1. Reclaimed or salvaged goods are sold as such and may not be in perfect condition. No warranty is given in respect of these goods.

12. Credit Notes and Refunds
12.1. Credit refunds, at the discretion of management, will be issued only in the form of a credit note.
12.2. Credit notes are valid for a period of three (3) months from the date of issue and cannot be extended.

13. Credit and Debit Card Transactions
13.1. Payments made by Switch or Debit Cards shall incur no additional charge.
13.2. Payments made by other Credit Cards shall incur a two percent (2%) surcharge.

14. Independent Contractors
14.1. At the Buyer’s request, the Company may provide a list of independent contractors. Such contractors are not agents or employees of the Company.
14.2. The Company accepts no responsibility or liability for the quality of workmanship or services provided by any contractor listed.
14.3. Any arrangement made between the Buyer and a listed contractor shall be a direct and separate contract between those parties.

15. Statutory Rights
15.1. Nothing in these Conditions shall exclude or restrict the Buyer’s statutory rights under consumer protection legislation.
